IPC International Terms and Conditions ("Terms")
1. About us
The https://www.myipc.ipcinternational.com website and member platform (the "Technology Platform") is owned and operated by European Independent Purchasing Company Limited for and on behalf of IPC International.
IPC International is made up a number of companies including but not limited to IPC International Ltd, IPCI UK Ltd, IPCI UK2 Ltd, IPCI Australia Pty Ltd, IPCI Singapore Pte. Ltd, IPCI Korea Ltd, European Independent Purchasing Company Limited, IPC Europe Ltd or any Affiliate of any one of these companies. References to IPC International in these Terms are to the group unless a company has been expressly stated.
These Terms and Conditions can be amended from time to time without notice. The date of the latest update is shown at the bottom of this page.
2. Use of the Website
Before using the Technology Platform, please read these Terms relating to your use of the Technology Platform carefully. By using the Technology Platform, you agree to be bound by these Terms and Conditions, including the IPC International Privacy Policy which is part of and incorporated into these Terms. If you do not agree to these Terms, you are not authorised to use the Technology Platform. This Technology Platform has been made available to you conditional upon your acceptance of the Terms without modification.
3. Posting Content
You are entirely responsible for all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials (“Content”) that you upload, post, email or otherwise transmit via the Technology Platform. You agree to comply with all local rules regarding online conduct and acceptable Content. IPC International is under no obligation to restrict or monitor Content in any way, however we reserve the right to modify or remove any Content at any time.
By posting, uploading, inputting, providing or submitting Content you are granting IPC International and its affiliates and successors a non-exclusive, worldwide, royalty free, perpetual, non-revocable licence to use your content in connection with the operation of the Technology Platform including, without limitation, the rights to copy, distribute, transmit, reproduce, edit, translate and reformat your Content.
You acknowledge and agree that we may preserve Content and may also disclose Content if required to do so by law or in good faith believe that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce these Terms; (c) respond to claims that any Content breaches the rights of third parties; or (d) protect the rights, property or personal safety of any of IPC International, our employees, sub-contractors, agents and our Technology Platform users.
4. Prohibited Content
You agree not to do, or attempt to do, any of the following: (a) access or use the Technology Platform in any way that violates or is not in full compliance with any applicable law (local or national law, regulation or statute), contracts, intellectual property rights or constitutes the commission of a tort or for any purposes that is harmful or unintended or other than in full compliance with these Terms; (b) access, tamper or use the Technology Platform in a manner that is not authorised by IPC International; (c) alter information obtained from or available through the Technology Platform; (d) tamper with postings, information, profiles, submissions or content on the Technology Platform or of other users; (e) transmit any unsolicited advertising, spam or junk; (f) not link to the Technology Platform or otherwise make it look like you have a relationship to IPC International or that we have endorsed you or your consent for any Content without the express consent in writing from IPCI UK Ltd; (g) impersonate or misrepresent your affiliation with any person or entity; (h) send to or otherwise impact IPC International or the Technology Platform harmful, illegal, deceptive or disruptive code such as a virus, spyware or other code that could adversely impact the Technology Platform or any recipient; (i) interfere with or disrupt the Technology Platform or server or network connected to the Technology Platform, take any action that might impose a significant burden (as determined by IPC International) on the Technology Platform’s infrastructure or computer systems or otherwise interfere with the ordinary operation of the Technology Platform; (j) to refrain from using, uploading or transmitting data that is or could be deemed to be defamatory, offensive or obscene, or which could be offensive or offensive to others or could affect or infringe the rights of any other person.
Under no circumstances will IPC International be liable in any way for any Content including but not limited to errors or omissions in any Content, or any loss, damages or costs of any kind incurred as a result of the use of any Content posted, emailed, or otherwise transmitted via the Technology Platform.
5. Personal Data
Any personal data that you supply to IPC International when using this Technology Platform will be collected, stored and processed in accordance with our Privacy Policy, [https://ipcinternational.com/web/ipc-international/privacy-policy].
6. Cookies
Cookies are tiny text files stored on your computer when you visit certain some pages or perform certain online actions. Our Technology Platforms use cookies to distinguish you from other users and maintain settings and actions that might be important to you.

7. Secure Area and Secure Users
There is a secured part of the Technology Platform (“Secure Area”) which is for use by Franchisees (“Franchisee Members”), the employees of IPC International, the employees of Subway® or such other persons authorised by IPC International from time to time (“Secure User(s)”).
If you are a Secure User, you will need to complete the registration process in order to access the Secure Area. We reserve the right to suspend or terminate your access to the Secure Area at any time if we believe that your further use is in any way disadvantageous or detrimental to IPC International or other Secure Users. By registering to use the Secure Area, you undertake to update your registration data immediately in the event of a change.
8. Franchisee Member Secure Users
As a Franchisee Member or other authorised user, once you have completed the registration process as a Secure User, you may have the ability to add additional users to the Secure Area. Such additional Secure Users must be your employees (“Additional Secure Area Users”) and Additional Secure Area Users must adhere to the same registration process as you.
You may restrict and/or remove an Additional Secure Area User’s access to the Secure Area at your discretion, however, we will ultimately have the final say on whether an Additional Secure Area User may be given or retain access to the Secure Area.
You will be personally responsible for monitoring an Additional Secure Area User’s use of the Secure Area. You will be responsible for maintaining an accurate and up to date database of Additional Secure Area Users registered to use the Secure Area. You must delete any Additional Secure Area Users access rights from the Secure Area within 48 hours of the termination of their employment and/or contractual relationship with you.
9. Intellectual Property
The Technology Platform, data, materials and software (“Material”) used in or in connection with the Technology Platform contain proprietary and confidential information that is protected by intellectual property rights including copyright, database rights, trademark rights and service marks, as well as other intellectual property rights and laws around the world, and which are owned either directly by IPC International or by our licensors. You are entitled to view or download the Material contained on the Website and may print it for Your business use should You be a Secure User. You must not modify, alter, publish, broadcast, distribute, sell or transfer (whether in whole or in part) any Material on this Technology Platform, underlying software code or underlying data nor copy or remove any Material from the Technology Platform without our express consent. You must not modify, use or remove any copyright and trademark or other proprietary notices or intellectual property from the Technology Platform or the Secure Area without our prior consent.
You are granted a revocable, non-transferable right to use the Technology Platform for the purposes set out in these Terms. However, you are not permitted to distribute, transfer, publish, transmit or sub-licence any part of the Technology Platform or its contents to, or the use of, any other person. You acknowledge that we own all intellectual property and all other rights in the Technology Platform.
10. Links to other Technology Platforms
We may occasionally include links from the Technology Platform to other Technology Platforms owned and controlled by third parties or other IPC International Technology Platforms. These links are provided for your convenience only and we do not endorse such Technology Platforms. We have no control over and do not assume any responsibility or liability for the third-party Technology Platforms. You access such other Technology Platforms solely at your own risk.
11. Monitoring
We may monitor the activity and Content of the Technology Platform and will take reasonable measures if we suspect that you are in breach of these Terms, including temporarily blocking or terminating your access to the Technology Platformand/or the Secure Area, and/or notifying authorities or regulators of your activities.
12. Security
If You have reason to believe that access to the Secure Area has been unlawfully made using your log in details, you must promptly change your password. Please contact ALERTS@IPCINTERNATIONAL.COM immediately so that we can investigate the problem. While such investigation is underway, we may need to suspend your access to the Secure Area. Since Internet transmissions are never completely private or secure, there is a risk that messages or information that you send to us via the Technology Platform or Secure Area may be intercepted or possibly read by others.
We accept no liability for any transfer of information that You make to us and such transfers shall be at your sole risk.
13. Disclaimer of liability and warranty
We make no representations that the Material available or made available to you on or through the Technology Platform is appropriate for your requirements. We disclaim all implied warranties and accept no liability (i) for the correctness, completeness or topicality of the information or Material contained on the Technology Platform; (ii) for the reliability, safety or stability of the Technology Platform; (iii) for access to the Technology Platform being continuous and uninterrupted (iv) for the Technology Platform being free of viruses. The Technology Platform is provided on an "as is" and "as available" basis without warranty of any kind or liability of any kind.
No information contained on the Technology Platform may be construed as legal, financial or other professional advice. You should not rely on the information contained on the Technology Platform and should always seek professional advice.
You are responsible for configuring your own information technology, computer programmes and platform in order to access the Technology Platform. You should use your own virus protection software. Any material downloaded or otherwise from the Technology Platform is done at your own discretion and risk. You will be solely responsible for any damage to your computer system or loss of data that results from the download of such material.
You agree to always use caution when providing any personal information about yourself or anyone else.
14. Liability
We shall not be liable to you or any third party for any direct, indirect, punitive, incidental, special or consequential losses, damages, costs, claims or expenses, of whatsoever kind (“Losses”) arising out of Your access to, or your use of the Technology Platform or Secure Area or any Material or information contained in it whether or not in the contemplation of the parties, whether based on breach of contract, tort (including negligence), product liability or otherwise, even if we are aware of the possibility of such Losses. For the avoidance of doubt, we shall not be liable in any circumstances for loss of profit.
Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by negligence or for fraud and fraudulent misrepresentation.
15. Indemnification
As a condition of your access to use the Technology Platform, you agree to indemnify and hold IPC International and Our affiliates, directors, officers, agents and other partners and employees and each of their respective successors harmless from and against any and all losses, damages, liabilities, costs, claims or expenses (including reasonable legal fees) arising as a result of or related to: (i) your access to and use of the Technology Platform and its Content; (ii) your breach of these Terms, the Privacy Policy, any applicable law; (iii) any dispute you have or claim to have with one or more users of the Technology Platform; (iv) your improper authorisation for us to collect, use or disclose any data or Content provided by you; and (v) any disclosures made with your permission (including, without limitation, your consent that we disclose your personal information and other information collected in our Privacy Policy).
16. Termination
You agree that IPC International may at any time at our sole discretion, without cause or any notice to you, terminate these Terms, your access to the Technology Platform, an/or your Secure Access or account, or suspend or block your access to the Technology Platform. Any suspected fraudulent, abusive or illegal activity that may be grounds for termination may be referred to local enforcement authorities. If your Secure Access is terminated, you may no longer have access to any Content available through the Technology Platform.
We may also in our sole discretion and at any time discontinue providing the Technology Platform, or any part without notice.
You agree that following any termination, we may immediately deactivate or delete your Secure Access or account information including all information and files.
17. Rights of third parties
No provision of these Terms grants any third-party rights, including but not limited to any Additional Secure Area Users, in accordance with the Contracts (Rights of Third Parties) Act of 1999 or similar local laws.
18. Waiver Notification
A delay in or decision against the enforcement of any of our rights that we may have under these Terms does in no way constitute a waiver of our right and does not affect the rights. We may have to assert the same or any other right at any other time or against any other person.
19. Severability
If any provision contained in these Terms are declared invalid or unenforceable by a court or competent authority, such offending provision shall be severed from these Terms without affecting the validity or enforceability of the remaining provisions.
20. Changes to Terms and Technology Platform
We reserve the right to change these Terms at any time. Any such changes will be effective from the time of posting the amended Terms on the Technology Platform. Your continued access to or use of the Technology Platform is deemed to be your acceptance of the amended Terms and Conditions. We encourage you to review these Terms and the Privacy Notice from time to time as they are legally binding.
We may also modify or discontinue, restrict or block access to the Technology Platform (or any part including the Secure Area) without notice. We will not be liable to you or any third party for any such modification, suspension or discontinuance.
21. International Use
You agree to comply with all local rules and laws regarding online conduct and acceptable Conduct. Specifically, you agree to comply with all applicable laws regarding the transfer of technical data from the UK, Europe, Middle East, Australia or whichever country that you reside in.
22. Governing Law
These Terms are governed by the laws of England and Wales and are subject to the exclusive jurisdiction of the English Courts.
